Terms of supply
The terms on which we sell research material, and the conditions you accept by ordering.
What these terms cover
These terms govern the supply of research material by Ryzen Research Ltd. By placing an order you accept them. If you are ordering on behalf of an organisation, you confirm you are authorised to bind that organisation to them.
Research use only
By ordering you confirm that you are 18 or over, that you are ordering on behalf of a research organisation, that the material will be used only for legitimate laboratory research, and that you accept responsibility for handling it safely and lawfully. We refuse orders that indicate personal use, and we may cancel an order at any point before dispatch.
What we will not provide
- Dosing, administration or therapeutic guidance of any kind.
- Medical, veterinary or clinical advice.
- Any representation that material is suitable for use in humans or animals.
- GMP or pharmaceutical-grade material, or documentation implying either.
Orders and pricing
An order placed on this site is an offer to buy. A contract forms when we confirm the order and stock. Prices are shown ex VAT and are those in force when the order is placed; we may correct an obvious pricing error before accepting an order, and will contact you rather than silently cancel. Stock figures are live but a line can sell out between your order and our confirmation, in which case we will offer the next release date or a refund.
Payment
Orders are invoiced on a proforma basis and dispatched on cleared payment, unless you hold an approved account with purchase-order terms, in which case payment is due 30 days from invoice. We may suspend supply on an account in arrears.
Specification and certificates
Material is supplied to the specification published for that line, and each batch is supplied with a certificate of analysis reporting the measurements taken on it. The certificate for your batch is the authoritative record; compound data published elsewhere on this site is indicative. We do not warrant that material is fit for any particular experimental purpose — determining suitability for your application is your responsibility.
Your obligations
- Store and handle material safely and in accordance with the conditions stated for it.
- Comply with all laws applicable to you, including import rules for your territory.
- Not supply, resell or transfer material to anyone who is not an organisation using it for research, and pass on the batch certificate and these use restrictions when you do.
- Not repackage or relabel in a way that breaks batch traceability.
- Not represent material as fit for human or veterinary use.
Liability
We are liable for losses you suffer as a direct result of our breaking this contract, up to the value of the order concerned. We are not liable for loss of profit, loss of data, loss of experimental work, or any indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Because material is supplied for research use only, we accept no liability whatsoever arising from use in humans or animals, which is a use these terms prohibit.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
